Terms of Service

DORIXÉ — Eco-Friendly Cleaning Marketplace

Effective date: 28 June 2026 Last reviewed: 28 June 2026 Version: 2.0

Governing language. These Terms are published in English and translated into the languages in which we offer our service. If there is a conflict between a translation and the English version, the English version prevails to the extent permitted by applicable mandatory consumer law in your country of residence. Where local law requires the contract in your language, that version governs your relationship with us.

1. Who We Are

DORIXÉ ("DORIXÉ", "we", "us", "our") operates an online marketplace that connects people who want cleaning services ("Clients") with independent cleaning professionals ("Cleaners" or "Providers"). DORIXÉ operates in the European Union and the United States and serves users globally.

  • Operating legal entity: DORIXÉ is operated by its founder. The business will complete its registration before the service begins operating to the public; the full registered entity name and legal form will be published here at that time.
  • Registered/principal address: DORIXÉ's postal contact address will be published here as part of completing registration before public launch; in the meantime, the email addresses below are monitored and are the fastest way to reach us.
  • Commercial register / company number: DORIXÉ's commercial-register entry and number will be published here once registration is completed, before the service begins operating.
  • VAT / sales-tax registration: DORIXÉ's VAT/USt-ID will be published here once registration is completed and any applicable VAT-registration threshold is met.
  • General contact: support@dorixé.com
  • Legal contact: legal@dorixé.com
  • Privacy contact: privacy@dorixé.com
  • Data Protection Officer (if appointed): We have not appointed a Data Protection Officer. We are not required to appoint one under Art. 37 GDPR, because our processing does not meet the thresholds for a mandatory DPO for an operation of our small scale. Privacy questions can be sent to privacy@dorixé.com.
  • EU representative (Art. 27 GDPR, if controller is outside the EU): Not applicable. Our controlling entity is established in Germany (the EU), so no representative under Art. 27 GDPR is required.

A formal company-identification notice (Impressum) for EU users is published separately and forms part of these Terms by reference. Our Privacy Policy and Cookie Policy also form part of these Terms.

2. What DORIXÉ Is — and What It Is Not

DORIXÉ is a neutral intermediary and a venue. We provide the technology platform on which Clients and Cleaners find each other, agree terms, communicate, and pay. We are not a cleaning company and we do not perform cleaning services ourselves.

When a Client books a Cleaner, the cleaning contract is formed directly between the Client and the Cleaner. DORIXÉ is not a party to that contract.

DORIXÉ is not:

  • the employer, agent, partner, joint venturer, or representative of any Cleaner;
  • a bank, payment institution, e-money institution, or escrow agent;
  • a guarantor of any Cleaner's identity, qualifications, work quality, conduct, insurance, licensing, or tax compliance.

Cleaners are independent contractors who run their own businesses. They set their own rates, choose which jobs to accept, decide when and how they work, use their own equipment and methods, and may provide services through other channels and platforms. See Section 13 (Independent Contractor Relationship).

We may, at our discretion, offer dispute-resolution assistance between Clients and Cleaners as a goodwill service. This is not a statutory consumer arbitration or alternative dispute resolution (ADR) service, and offering it does not make DORIXÉ a party to the cleaning contract.

3. Eligibility and Accounts

  • To book or provide services, transact, or join the affiliate program, you must be at least 18 years old and have legal capacity to enter into contracts.
  • To hold any account, you must be at least 16 years old in the EU (or the digital-consent age set by your EU member state, which may be 13–16) and at least 13 years old in the United States.
  • The service is not directed to children. We do not knowingly collect personal data from anyone below the applicable minimum age, and accounts found to belong to under-age users will be closed. See the Children section of our Privacy Policy.

You are responsible for keeping your account credentials secure and for activity under your account. Authentication is provided by our processor, Clerk.

4. How the Marketplace Works

4.1 Booking

Clients describe the service they need and book a Cleaner at the Cleaner's quoted rate, or accept a Cleaner's bid (see 4.3). Cleaners set their own per-hour or per-job rates, may offer recurring-booking discounts, and may offer paid add-ons.

4.2 Ranking and search results (Platform-to-Business transparency)

Where we rank or order Cleaners, bids, or listings, the main parameters that determine ranking and their relative importance are, in general: relevance to the Client's request and location; Cleaner availability; ratings and completed-booking history; price; responsiveness; and compliance with these Terms. We do not accept payment from Cleaners for higher ranking unless any such paid placement is clearly identified as advertising. We may update these parameters and will keep this description current.

4.3 The bidding marketplace

Clients may post a job; Cleaners may submit competitive bids. The Client chooses which bid to accept. The same ranking-parameter transparency in 4.2 applies to how bids are presented. Accepting a bid creates a cleaning contract directly between the Client and that Cleaner.

4.4 Recurring bookings — automatic payments (please read carefully)

If you set up a recurring booking, you authorise DORIXÉ (via Stripe) to automatically charge your saved payment method on each cycle at the stated amount and frequency, until you cancel. This is a continuing, automatically-renewing authorisation.

  • At setup you must give separate, affirmative consent to the recurring charge (for example, by ticking a dedicated box reading substantially: *"I authorise DORIXÉ to charge my saved payment method [amount] every [frequency] until I cancel."*). This consent is recorded with a timestamp.
  • You may cancel a recurring booking at any time, online, with no penalty, from your dashboard, using the same ease as sign-up. Cancellation stops future charges; it does not affect a service already performed.
  • We send a reminder before each charge and a receipt after each charge.
  • For EU consumers, your 14-day right of withdrawal (Section 8) applies to the initial recurring contract.

These provisions are designed to meet US automatic-renewal / negative-option requirements (including the FTC "Click-to-Cancel" rule and state Automatic Renewal Laws such as California's) and EU pre-contract and fairness requirements.

5. Pricing, Taxes, and Invoices

5.1 Total price shown before you pay

Before you are bound, the checkout shows a single all-in total, with each component itemised: the Cleaner's service price, any add-ons, any optional carbon-offset contribution (Section 7), and applicable taxes. For EU consumers, prices are shown inclusive of VAT and all mandatory charges.

5.2 Who supplies what

  • The Cleaner is the supplier of record for the cleaning service.
  • DORIXÉ supplies only the platform/intermediary service (and charges the Cleaner a commission for it — see Section 6).

5.3 VAT and sales tax

Responsibility for VAT (EU) and sales tax (US) depends on the Cleaner's status, your location, and applicable marketplace-facilitator laws. In many US states, marketplace-facilitator rules may make DORIXÉ the party that collects and remits sales tax on facilitated sales; where they do not, the Cleaner is responsible. In the EU, VAT treatment depends on whether the Cleaner is VAT-registered. We will calculate, display, collect, and remit taxes as required by applicable law and provide receipts/invoices accordingly. We calculate, collect, display, and remit VAT and sales tax in line with applicable law in your location, and we issue receipts and, where required, invoices. Where US marketplace-facilitator rules apply to a facilitated sale, we act as the facilitator for collection and remittance; otherwise the Cleaner is responsible. The commission we deduct from the Cleaner's payout is consideration for our intermediary service and is treated for VAT/tax purposes accordingly.

5.4 Invoices and receipts

You receive a receipt for every payment. Where a VAT invoice is required, it is issued by the supplier of record for the relevant supply.

6. Commission and Cleaner Payouts

DORIXÉ charges Cleaners a commission for using the platform. The commission is a small percentage deducted from the Cleaner's payout — it is not added on top of the Client's price. The Client pays the Cleaner's quoted rate; DORIXÉ keeps the commission from what would otherwise be paid out to the Cleaner. The commission helps fund platform operations, payment processing, support, and applicable taxes.

The commission rate is set by DORIXÉ and may be changed from time to time (changes to Cleaners are notified under Section 16 and the Platform-to-Business notice rules). The current rate is shown to Cleaners in their dashboard.

Cleaners are paid through Stripe Connect after a job is completed, net of commission, on a rolling payout schedule (approximately weekly). Payouts are subject to Stripe's terms and to identity verification (Section 12).

7. Payments and Fund Handling

  • All payments are processed by Stripe. Payment services are provided by Stripe under Stripe's terms; DORIXÉ does not itself hold customer funds.
  • When you book, your payment is authorised and held by our payment processor (Stripe) using a manual-capture authorisation. Your card is charged, and the Cleaner is paid, only after the service is completed. This is a pre-authorisation hold, not a legal escrow; DORIXÉ is not a bank, e-money institution, or escrow agent.
  • We use Stripe's destination-charge model: the charge is processed and the Cleaner's share is transferred to the Cleaner via Stripe Connect (net of commission), with the approximately-weekly payout described in Section 6.
  • We support multiple currencies (EUR / USD); the currency and amount shown at checkout apply to your booking.

8. EU Consumer Right of Withdrawal (14-Day Cooling-Off)

This Section applies to consumers in the EU/EEA and takes precedence over the contractual cancellation policy in Section 9.

Under the EU Consumer Rights Directive (2011/83/EU), if you are a consumer booking a service at a distance, you have the right to withdraw from the contract within 14 days without giving any reason.

  • How to withdraw: send a clear statement of your decision to withdraw to legal@dorixé.com, or use the Model Withdrawal Form provided at checkout and linked in your account. The withdrawal period expires 14 days after the contract is concluded.
  • Refund on withdrawal: if you withdraw within the period (and have not validly requested early performance — see below), you receive a full refund, including the carbon-offset contribution if taken, regardless of the cancellation tiers in Section 9.
  • Early performance inside the 14 days: if you want a Cleaner to start before your 14-day window ends, we must obtain your express request to begin early and your acknowledgement that you will lose your withdrawal right once the service is fully performed. At checkout, for any booking scheduled inside 14 days, you will be asked to tick a separate, recorded box reading substantially:
*"I request that DORIXÉ arrange for the cleaning service to begin before the end of my 14-day withdrawal period, and I acknowledge that once the service is fully performed I lose my right of withdrawal, and that if I withdraw after the service has begun I will pay a proportionate amount for what has already been provided."*
  • If you withdraw after service has begun (with a valid early-start request): you pay only a proportionate amount for what was actually provided up to your withdrawal (CRD Art. 14(3)).
  • If we failed to inform you of this right: the withdrawal period is extended by up to 12 months, and you owe no charge for partial performance during that extension (CRD Arts. 10, 14(4)).

This statutory right cannot be waived except as described above and always takes precedence over Section 9.

9. Cancellation and Refunds (Contractual Policy)

This Section applies only after any EU withdrawal right (Section 8) has lapsed or been validly waived. For EU consumers, Section 8 always takes precedence.

If a Client cancels a confirmed booking, the following refund applies to the service price:

Time before scheduled serviceRefund of service price
More than 48 hours100%
24–48 hours50%
Less than 24 hours0%

If a Cleaner cancels, the Client receives a 100% refund.

Nature of the cancellation fee. Any amount retained on a late Client cancellation is intended as a reasonable pre-estimate of the Cleaner's loss from a reserved slot that can no longer be filled — it is not a penalty. We aim to ensure these tiers reflect genuine lost-slot compensation rather than full forfeiture of value never delivered; where a flat forfeiture would be disproportionate to the actual loss, the retained amount is limited to a reasonable estimate of that loss. We keep the rationale on file. The tiered amounts (50% for cancellations 24–48 hours before, 100% retained for cancellations under 24 hours) reflect a reasonable pre-estimate of the Cleaner's loss from a reserved time slot that can no longer be re-filled at short notice: closer to the appointment, the less likely the slot can be re-sold, so a larger share is retained. The amount retained is capped at the Cleaner's genuine lost-slot loss and is never a penalty; where the actual loss is lower, we reduce the retained amount accordingly, and we waive fees in cases of hardship or force majeure.

Hardship and force majeure. We may waive cancellation fees in cases of genuine hardship (e.g. illness, bereavement) or where a Force Majeure event (Section 21) prevents performance. Bookings cancelled due to Force Majeure are generally refunded in full.

Carbon-offset on cancellation. If a booking is cancelled or refunded, any optional carbon-offset contribution is released/refunded with it (it is not captured for a cancelled booking).

10. Disputes, Refunds, and Chargebacks

If something goes wrong with a service, please use our internal process before initiating a card chargeback:

  1. Raise a complaint through your dashboard or by contacting support support@dorixé.com within a reasonable time after the service.
  2. We will acknowledge it and may mediate in good faith between the Client and the Cleaner. Evidence we may consider includes booking details, in-platform messages, and any before/after photos uploaded for the booking.
  3. We aim to resolve complaints within a reasonable, communicated timeframe.

Where a refund is due, it is processed via Stripe. On a full refund, the carbon-offset contribution is included in the refund base.

Chargebacks. Initiating a card chargeback without first using our internal process, or initiating an abusive or fraudulent chargeback, may breach the no-circumvention obligation (Section 11) and these Terms. Using our internal process does not remove any mandatory statutory right you have.

Consumer ADR / ODR.

  • EU consumers may access the European Commission's Online Dispute Resolution (ODR) platform (where still applicable as a transitional disclosure). DORIXÉ's participation in a consumer arbitration board (Verbraucherschlichtungsstelle) is addressed in the Impressum; any internal mediation we offer is a goodwill service and is not the same as statutory consumer ADR.

We are not obliged to, and do not commit to, participate in dispute-resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle). EU consumers may still use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/. Any internal mediation we offer is a voluntary goodwill service and is not statutory consumer ADR. This position is the same in our Impressum.

  • US consumers may use the dispute-resolution route in Section 23 (US Users) and any small-claims option described there.

11. Acceptable Use and No Circumvention

You agree not to:

  • circumvent platform payments or fees, or arrange/solicit bookings off-platform to avoid commission ("circumvention");
  • harass, threaten, defraud, or unlawfully discriminate against any user;
  • post false, misleading, defamatory, or fake reviews (Section 14);
  • upload unlawful content, malware, or content infringing others' rights;
  • scrape, reverse-engineer, overload, or interfere with the platform;
  • use the platform in violation of any applicable law in your jurisdiction.

We may suspend or terminate access for breach (Section 17).

12. Verification and No-Guarantee Disclaimer

Please read this Section carefully — it states exactly what we do and do not check.

  • What we do: DORIXÉ verifies a Cleaner's identity using Stripe Identity (which may involve a government-ID document and, where applicable, a selfie/face match). See the Privacy Policy for how this data is handled.
  • What we do NOT do: DORIXÉ does not conduct criminal-background checks, does not verify or guarantee that any Cleaner holds insurance, does not independently certify any Cleaner's eco/sustainability credentials, and does not verify professional licences or qualifications unless we expressly state otherwise for a specific Cleaner.
  • Any claims about insurance, eco-certification, or qualifications shown on a Cleaner's profile are self-declared by that independent Cleaner and are not independently verified by DORIXÉ unless explicitly labelled as verified by us with the standard and verifier named.

No guarantee. DORIXÉ does not guarantee any Cleaner's qualifications, insurance, criminal history, conduct, or work quality, and does not endorse any Cleaner. You engage Cleaners at your own risk, exercising your own judgement. This disclaimer supports, but does not replace, your statutory rights, and nothing here excuses an affirmatively false statement made elsewhere — our marketing describes verification only as "identity-verified via Stripe Identity."

13. Independent Contractor Relationship (Cleaners)

Cleaners are independent contractors, not employees, workers, agents, or representatives of DORIXÉ. In particular, Cleaners:

  • set their own rates, recurring discounts, and add-ons;
  • choose which jobs to accept or decline;
  • control their own schedule, methods, equipment, and cleaning products;
  • may work for other clients, platforms, and competitors;
  • are solely responsible for their own taxes, social contributions, licences, permits, and insurance, and for operating lawfully.

DORIXÉ provides a venue and does not direct the manner in which Cleaners perform services. We do not refer to Cleaners as "our cleaners," "our team," or "we clean," and any such phrasing anywhere should be read consistently with this independent-contractor relationship.

Cleaners may be asked to accept a separate Cleaner / Provider Agreement governing their use of the platform. Cleaners use the platform as independent contractors and accept a separate Cleaner / Provider Agreement governing that relationship. We recognise that worker-classification rules differ by market (including the California ABC test under AB5 in the US and the rebuttable presumption of employment under the EU Platform Work Directive). The factors above (own rates, freedom to accept or decline jobs, own schedule, methods, equipment, and freedom to work elsewhere) reflect genuine independent operation; nothing in these Terms overrides any mandatory classification right a Cleaner may have under the law applicable to them.

14. User Content, Reviews, and Photos

14.1 Your content

Users may post content including two-way reviews and ratings (Clients and Cleaners rate each other), messages, and before/after photos of the service location ("User Content").

14.2 Licence to DORIXÉ

You grant DORIXÉ a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display your User Content for the purpose of operating and providing the service (e.g. showing photos to the relevant Cleaner/Client and using them as dispute evidence). Any use of your content for marketing requires your separate, clearly-scoped consent.

14.3 Your responsibilities when uploading photos and content

You represent and warrant that:

  • you own or have the rights and any necessary consents to upload the content;
  • photos do not depict identifiable third parties or children, and you have obtained any consent needed from people whose property or likeness appears;
  • you will not upload others' home/property photos or other people's personal data without a lawful basis;
  • reviews are honest, genuine, and based on a real experience, and contain no unlawful, defamatory, or false content and no third-party personal data.

14.4 Review integrity

Reviews must come from real users about genuine experiences. We prohibit fake, AI-generated, incentivised-without-disclosure, or paid-for reviews, and we do not selectively suppress or edit honest negative reviews. Where feasible, reviews are tied to a completed booking ("Verified booking"). The person reviewed has a right of reply and may request correction of inaccurate content. These rules are designed to meet the FTC Reviews and Testimonials Rule (16 CFR Part 465) and EU transparency/consumer-law requirements.

14.5 Notice-and-takedown / report mechanism

Anyone may report unlawful, infringing, or rights-violating content (including a review about them or a photo of their property) to abuse@dorixé.com. We will assess reports and may remove content, consistent with our obligations as a hosting intermediary under the EU Digital Services Act (notice-and-action) and the US DMCA (17 U.S.C. §512). For US copyright complaints, our designated DMCA agent is You may send copyright complaints to abuse@dorixé.com, addressed to the DORIXÉ Copyright Agent, and we will act on valid notices under 17 U.S.C. §512. We will register a designated DMCA agent with the U.S. Copyright Office and publish those details here.. We will not penalise good-faith reporting and provide a route to contest removals.

15. Sustainability and Eco Claims; Carbon-Offset Add-On

15.1 How eco labels work

Eco/sustainability descriptions of Cleaners (including any "eco level" such as basic, certified, premium, or zero-impact) are, unless we expressly state otherwise, DORIXÉ-defined and self-declared by the Cleaner, not independently government- or third-party-certified. We do not use the words "certified" or "verified" for self-declared status without naming the actual standard and verifier. We avoid absolute terms such as "zero impact" or "carbon-neutral" for a service unless that specific claim is substantiated and, where relevant, independently certified. At present, eco levels are defined by DORIXÉ and are based on the Cleaner's self-declared practices (such as use of certified eco-friendly products, reduced-water methods, and reusable materials); they are not independent third-party certifications. We do not describe a Cleaner as "certified" or "verified" unless a named external standard and verifier apply, and we keep on file the self-declaration supporting each level. If we introduce third-party eco-certification, we will name the standard and verifier here.

15.2 Carbon-offset contribution (optional add-on)

The carbon-offset add-on is a voluntary, optional contribution that is not part of the Cleaner's fee or the cleaning service price. It is opt-in and unticked by default at checkout.

  • It funds verified carbon-reduction projects through a recognised offset registry. The project type, the registry and standard, the estimated tonnes of CO₂e attributed to a typical booking, the calculation methodology, and the proportion of your contribution applied to offsetting are shown at checkout, and we keep the supporting evidence on file. Until a specific provider is named at checkout, treat the contribution as a voluntary climate contribution rather than a guaranteed per-booking offset..
  • It is released/refunded if the booking is cancelled or refunded and is included in the refund base on a full refund; once the service is fully performed it is non-refundable except as required by law.
  • VAT/tax treatment: The offset contribution is shown as a separate line item at checkout, with any applicable VAT or sales tax calculated and displayed on it in line with the tax rules for your location..
  • It is a contribution, not a guarantee that the service is carbon-neutral.

We keep substantiation evidence for all environmental claims on file.

16. Affiliate and Referral Program; Eco-Store Links

Registered users and standalone influencers can earn commission on referred bookings, and our Eco-Store may link to third-party products via affiliate links.

  • The affiliate/referral program is governed by separate Affiliate Program Terms available at /legal/affiliate-terms, which cover eligibility, commission rates, the attribution window, payout terms and thresholds, clawback where a referred booking is refunded or cancelled, prohibited conduct (self-referral, cookie stuffing, spam, trademark bidding), and termination.
  • Mandatory disclosure. Affiliates and influencers must clearly and conspicuously disclose their material connection (e.g. "#ad" / "paid partner") in every promotion, must not make false or unsubstantiated claims about DORIXÉ (including any vetting, insurance, or eco claims), and must comply with the FTC Endorsement Guides (16 CFR Part 255), the EU UCPD, and anti-spam laws (including CAN-SPAM and ePrivacy) where they email. DORIXÉ may audit and terminate non-compliant affiliates.
  • Tax. Affiliates and Cleaners are responsible for their own taxes. Before payout we may require tax information (US W-9/W-8; EU DAC7 identity/TIN data) and may apply backup withholding and report to tax authorities as required.

We collect the tax information needed before payout (US W-9/W-8; EU identity/TIN data) and meet our reporting obligations as they arise, including EU DAC7 reporting for platform sellers and affiliates and US 1099 reporting where applicable, applying backup withholding where required.

  • Eco-Store. Third-party products linked from the Eco-Store are sold by the third party, not DORIXÉ. A clear affiliate disclosure ("Some links are affiliate links — we may earn a commission…") is shown before the product listings.

17. Suspension, Termination, and Account Closure

  • You may close your account at any time. Data handling on closure follows our Privacy Policy (soft-delete with a wind-down window and anonymisation of records we must retain).
  • We may suspend or terminate access, with prior notice and a statement of reasons where required (including the Platform-to-Business transparency rules for Cleaners), for breach of these Terms, fraud, legal requirement, or risk to users or the platform. Where immediate action is needed (e.g. fraud or safety), we may act first and give reasons promptly after.
  • Cleaners have access to an internal complaint-handling / appeal process regarding suspension or termination decisions, consistent with the Platform-to-Business Regulation.
  • On termination: in-flight bookings are handled fairly (completed, cancelled, or refunded per Sections 8–10); final payouts are processed subject to verification and any chargeback/fraud holds; affiliate balances earned in good faith are paid, but balances tied to fraud may be forfeited; and the clauses listed in Section 25 survive.

18. Intellectual Property and Brand Use

DORIXÉ owns the platform, its software, content, and trademarks DORIXÉ and the DORIXÉ logo are trademarks of the operator; registration numbers, where the marks are registered, will be listed here.. Except as expressly allowed, you may not use our name, logo, or marks. Affiliates are granted a narrow, revocable, non-exclusive licence to use approved brand assets solely to promote DORIXÉ per our brand guidelines, and may not bid on our trademarks, register confusingly similar domains, or imply a partnership/endorsement beyond the affiliate relationship. All rights not expressly granted are reserved; brand use must cease on termination.

19. Disclaimer of Warranties

The platform is provided "as is" and "as available." To the extent permitted by law, DORIXÉ does not warrant that the platform will be uninterrupted or error-free, or that any Cleaner will be available or that any service outcome will be achieved, and we make no warranty of merchantability or fitness for a particular purpose for the platform service. DORIXÉ does not endorse any Cleaner.

Consumer carve-out. Nothing in this Section excludes or limits your non-excludable statutory consumer guarantees and rights under the law of your country of residence (EU) or your state (US); some US states do not allow the exclusion of implied warranties, so parts of this Section may not apply to you.

20. Limitation of Liability

Mandatory carve-outs. Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or wilful misconduct; (d) any liability that cannot be excluded under applicable mandatory law; or (e) a consumer's non-excludable statutory rights.

Subject to the carve-outs above, and to the maximum extent permitted by applicable law:

  • DORIXÉ is not liable for the acts, omissions, conduct, or services of Cleaners or Clients, who contract directly with each other (Section 2);
  • DORIXÉ is not liable for indirect, incidental, special, or consequential damages; and
  • DORIXÉ's total aggregate liability for any claim is limited to the total amounts paid to DORIXÉ (as platform fees/commission) in the 12 months before the event giving rise to the claim.

These limitations apply separately to consumers and to business users, and each provision is severable (Section 24) so that an unenforceable limb is reduced to the maximum permitted rather than voided wholesale.

21. Force Majeure

Neither party is liable for failure or delay in performance (other than payment obligations already due) caused by events beyond its reasonable control, including outages of essential third-party providers (e.g. Stripe, Clerk, hosting), natural disasters, pandemics, strikes, war, or government action. The affected party will give notice and resume performance when reasonably able. Bookings prevented by a Force Majeure event are generally refunded in full (distinct from the standard cancellation tiers).

22. Indemnification

To the extent permitted by law, Cleaners and affiliates (as commercial actors) agree to indemnify and hold DORIXÉ harmless from third-party claims, losses, and reasonable costs arising from their services, content, conduct, breaches of these Terms, or failures to meet tax, licensing, or insurance obligations.

Consumer scope. Any indemnity owed by a consumer is limited to the consumer's own unlawful acts or IP-infringing/unlawful content, and is not enforced beyond what applicable consumer law permits. We will notify you of relevant claims, allow you reasonable control of the defence of claims you indemnify, and cooperate in good faith; we will not settle a claim in a way that imposes obligations on you without your consent (not to be unreasonably withheld).

23. Governing Law and Disputes — Jurisdiction-Specific

This Section uses a jurisdiction-split structure. The clauses are severable (Section 24); a clause held unenforceable in one jurisdiction does not affect the others.

23.1 EU consumers

If you are a consumer resident in the EU/EEA:

  • the contract is governed by the law and you keep the mandatory consumer protections of your country of residence (Rome I, Art. 6);
  • you may bring proceedings in the courts of your own country of domicile, and may only be sued there (Brussels Ia, Arts. 17–19);
  • we do not impose foreign-law, exclusive-foreign-forum, or mandatory-arbitration clauses on you, and nothing here overrides your home-forum and home-law rights.

23.2 US users

If you are a user resident in the United States:

  • these Terms are governed by the laws of Germany (the same governing law as for all other users, as there is no separate US entity), without prejudice to the mandatory consumer-protection rights of your US state of residence, without regard to conflict-of-laws rules, and venue lies in the courts of Berlin, Germany, for matters not within your local consumer or small-claims forum, while preserving your right to bring claims in your home state where mandatory law so provides, without prejudice to your right to bring an eligible claim in your local small-claims or consumer forum;
  • These Terms also address US consumer-protection points elsewhere: automatic-renewal disclosures (Section 4.4), refund/cancellation rights (Sections 9–10), and verification/marketing accuracy (Section 12).

23.3 EU business users (Cleaners/B2B)

For EU business counterparties (e.g. Cleaners acting in a business capacity), the default governing law is German law and the default forum is the courts of Berlin, Germany, except where mandatory law provides otherwise.

23.4 Other / global users

For users outside the EU and US, German law, with the courts of Berlin, Germany as the default forum applies, without prejudice to any mandatory local consumer protections.

24. Severability

If any provision is held invalid or unenforceable, it will be reformed to the minimum extent necessary to make it enforceable, or, if it cannot be reformed, severed, without affecting the validity of the remaining provisions. The specific non-severability ("blow-up") rule for the US class-action waiver in Section 23.2 prevails over this general rule.

25. Survival

Provisions that by their nature should survive termination will survive, including: Section 6 (commission/payouts due), Section 12 (verification/no-guarantee), Section 14 (content licence), Section 18 (IP), Section 19 (warranties disclaimer), Section 20 (liability), Section 22 (indemnification), Section 23 (governing law/disputes), Section 24 (severability), and this Section 25.

26. Changes to These Terms

We may amend these Terms with prospective effect.

  • For material changes, we will give reasonable advance notice by email and/or in-app, stating when the changes take effect.
  • EU consumers receive reasonable advance notice and may terminate before the changes take effect if they do not accept them.
  • For non-material changes, continued use after the changes take effect constitutes acceptance.
  • We update the "Last reviewed" date on every change and review these Terms at least every 12 months.

We will not rely on a unilateral right to change terms in a way that would be unfair to consumers under the EU Unfair Contract Terms Directive.

27. Data Protection, Cookies, and Marketing

Our handling of personal data is described in our Privacy Policy (including a US state-privacy notice for CCPA/CPRA and other state laws, international-transfer mechanisms, identity-verification handling, home photos and geolocation, reviews/UGC, referral data, retention, and your rights) and in our Cookie Policy. Non-essential cookies and analytics are loaded only with your consent. Marketing emails are sent only with your prior opt-in (separate from accepting these Terms), and every marketing message includes a one-click unsubscribe. These documents form part of these Terms. The Privacy Policy and Cookie Policy referenced here are the current versions, and the consent interface is presented in the language in which the service is offered to you.
